1. Acceptance of Terms
By accessing or using the Waffi Rewards platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms apply to all visitors, users, and others who access or use the Service, including store managers ("Merchants"), advertisers ("Advertisers"), and end consumers ("Customers").
2. Description of Service
Waffi Rewards provides a customer loyalty program management platform that enables:
- Merchants to create and manage loyalty programs for their customers
- Customers to earn and redeem rewards at participating merchants
- Advertisers to display promotional content to customers
- Communication between merchants and their customers via SMS and promotional messages
3. Account Registration
3.1 Merchant Accounts
To use our merchant services, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
3.2 Customer Accounts
Customer accounts are created when customers enroll in a merchant's loyalty program. By enrolling, customers consent to receive communications related to the loyalty program and promotional offers.
3.3 Advertiser Accounts
Advertisers must submit their advertising content for approval before publication. All advertisements must comply with our advertising guidelines and applicable laws.
4. Subscription and Payment Terms
4.1 Subscription Plans
Merchant services are offered through various subscription plans. Each plan includes specific features and limitations as described on our pricing page.
4.2 Payment Processing
Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees associated with your subscription.
4.3 Payment Authorization
For new accounts and advertising campaigns, payment may be authorized (held) pending administrative approval. Authorized payments will be captured upon approval or cancelled if your application is rejected.
4.4 Refunds
Refunds are handled on a case-by-case basis. If your account application is rejected, any authorized payment will be automatically cancelled and not charged.
4.5 Subscription Cancellation
You may cancel your subscription at any time. Upon cancellation, your account will remain active until the end of the current billing period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Send spam or unsolicited communications
- Upload malicious code or content
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the Service
- Collect user information without consent
- Use the Service for fraudulent purposes
6. SMS Communications
By using our SMS features, you agree to:
- Only send messages to customers who have opted in
- Comply with all applicable telecommunications regulations
- Include opt-out instructions in promotional messages
- Respect customer communication preferences
- Not send messages outside of reasonable hours
Message and data rates may apply to recipients. We are not responsible for charges incurred by message recipients.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Waffi Rewards and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Service.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Merchants are responsible for:
- Obtaining proper consent from customers for data collection
- Handling customer data in compliance with applicable privacy laws
- Notifying customers about how their data will be used
9. Third-Party Services
The Service may contain links to or integrations with third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party services.
Third-party services used by Waffi Rewards include:
- Stripe for payment processing
- Firebase for authentication
- Twilio for SMS messaging
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free
- Defects will be corrected
- The Service is free of viruses or harmful components
- The results of using the Service will meet your requirements
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAFFI REWARDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Waffi Rewards, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your content submitted to the Service
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.
Upon termination:
- Your right to use the Service will immediately cease
- We may delete your account and associated data
- You remain liable for any outstanding payments
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Waffi Rewards operates, without regard to conflict of law principles.
16. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
